Jag valde att i min uppsats behandla den svenska Koden för bolagsstyrning

(Corporate Governance) och mitt syfte var att göra en jämförelse mellan Kodens

och Aktiebolagslagens regler för bolagsstyrning För att lyckas med detta har jag

använt mig av den traditionella juridiska metoden och utgått från den

rättsdogmatiska ansatsen.

Bolagen ska, enligt Koden, offentliggöra tid och plats för stämman i samband

med att tredje kvartalsrapporten lämnas. I god tid ska bolaget på sin hemsida

informera om aktieägarnas rätt att få ärende behandlat av stämman och Koden

har även noterat ett ökat internationellt ägande i svenskt näringsliv och därför

ska bolaget överväga om stämman ska simultantolkas. Även regeln om att man

ska kunna delta i bolagsstämma från annan ort underlättar för utländska ägare.

En av de stora nyheterna i Koden är att bolagen ska ha en valberedning med

uppgift att nominera kandidater till styrelsen, ge förslag till arvodering av

styrelsen, nominera revisor och föreslå arvode till revisorn. Bolagen ska även ha

ett revisionsutskott, med ansvar för kvalitetssäkra den finansiella

rapporteringen, och ett ersättningsutskott med ansvar för att bereda förslag till

principer för ersättningar och andra anställningsvillkor för bolagsledningen.

Utöver att stärka ägarnas position är informationsgivning Kodens nyckelord. På

bolagets hemsida ska en speciell plats skapas där all information som krävs

enligt Koden ska vara lätt tillgänglig.

Koden fokuserar starkt på den interna kontrollen och transparens i ekonomin som jag anser är förutsättningar för ett väl fungerande näringsliv. Min slutsats blir därför att Koden har en stor funktion att fylla.

The corporate governance codes are a way of creating trust for companies in national financial markets. The problem with implementing different codes within the European Union has lead to that the trust has been increased for the companies within the different countries but not internationally, within the European Union. This means that investors will have to look into each country code to decide if a company existing in a financial marketplace can be trusted. A resolution for creating trust internationally could be to create a common code for the European Union. Therefore the aim of our research is through a comparison of different corporate governance codes and institutional systems analyse what similarities and differences the codes and the systems have with each other and through our conclusions make a judgement if it is possible to unite the codes into one common code in the European Union.

To reach our aim we made three different analyses. In the first analysis we compared four European corporate governance codes (the British, German, Spanish and Swedish) and concluded in which areas we thought the codes could be united. In our second analysis we compared the institutional systems in each of these four countries and concluded the main characteristics of each system that could influence the corporate governance codes. In our third analysis we tried to explain the differences in the codes by the differences in the institutional systems and through the comparison conclude in which parts the codes could be united and in which parts not.

With both an LLM and MSc exit qualification available, this programme is delivered jointly by the University of Aberdeen's School of Law and Business School, and will provide students with an interdisciplinary learning experience in Finance and Law.

Study options.

With both an LLM and MSc exit qualification available, this is a unique opportunity to benefit from the expertise of staff from both the School of Law and the Business School. This programme has a practical and commercial focus and will appeal to those employed in or with an interest in commercial and professional services, within the legal and financial communities. Students can choose the most suitable route to follow depending on their own individual career aspirations. Students will learn about key issues in Corporate Finance and Law, providing them with the skills and expertise that they require in this fascinating, important and remunerative area.

This programme offers particular benefits to SMEs by developing skills and knowledge of both the legal and financial markets. Students will gain an insight into finance for SMEs and also raising finance for the stock market. This degree is open to people from any discipline and will provide students with an interdisciplinary learning experience in Finance and Law.

Programme Fees

Compulsory courses.

This course, which is prescribed for all taught postgraduate students, is studied entirely online, takes approximately 5-6 hours to complete and can be taken in one sitting, or spread across a number of weeks.

Topics include orientation overview, equality and diversity, health, safety and cyber security and how to make the most of your time at university in relation to careers and employability.

Successful completion of this course will be recorded on your Enhanced Transcript as ‘Achieved’.

15 Credit Points

Students will gain an understanding of what financial information is for and how it is controlled by government, the stock exchanges and other institutions. Students will explore financial accounting assumptions and conventions. They will develop their technical knowledge and skills to enable them to record business transactions and prepare financial statements. Finally, students will be introduced to financial statement analysis and the calculation of key metrics. This will allow them to explore how accounting information is used by stock market participants and the impact on users of current developments and issues in accounting practice, governance and standards.

This course introduces students to basic financial concepts before moving on to introduce students to a number of areas of corporate finance including investment appraisal decisions, examining capital structure theory, the financing decisions of the firm, and corporate restructuring. The main aim of the course is to equip students with good analytical skills in order to understand the implications of corporate financing decisions by understanding why companies behave the way they do with respect to financing choices and how this interacts with the real world financial markets, and to enable students to understand the theoretical underpinnings of corporate finance theory.

30 Credit Points

This course will explore issues within the law of corporate finance, with reference to different legal systems. It will provide students with a wider and deeper understanding of various debt and equity finance issues that are crucial to the law of corporate finance.

This course examines theories and issues relevant to portfolio analysis. Themes include: risk and return; investment motives; the application of modern portfolio theory (including the Capital Asset Pricing Model); information and market efficiency; portfolio analysis and asset pricing; bonds and equities; real estate and derivative markets.

Like football, this course is a game of two halves. The first half is financial analysis and builds your ability to analyse companies and think about the implications of financial performance for investors. We will be using Datastream and Bloomberg software. In the second half we will think about how stock markets work and how they are regulated.

This course will discuss the trajectory of the development of corporate governance over the past three decades, especially in the UK and the US, with a view to understanding the extent to which underlying theoretical assumptions and policy decisions impact legislative, regulatory and self-regulatory arrangements as well as reform options. Students will gain an understanding of why the company as a legal entity has the shape and form that it does; why certain actors are regarded as internal to corporate governance arrangements and others external; and why ongoing (and sometimes apparently futile) reform efforts take the form that they do.

The capstone of your programme. A significant individual piece of work showing your ability to think, research, organise and analyse. You will work with a member of faculty to develop a proposal that you will then turn into 10,000 words of reality!

Full Time Route: All candidates take the following courses:

This course provides students from diverse legal and educational backgrounds with a common understanding of the core research, analytical, and writing skills which will be required for LLM-Taught courses. The course is delivered as a series of five interactive lectures with two individual assessments designed to encourage critical thinking and provide opportunities for early feedback. It also incorporates a library workshop to provide students with hands-on experience with the resources available for course and dissertation work.

Between May and mid-August students prepare a 10,000 word dissertation on a topic of their choice related to their specialist LLM programme. Students are instructed through the delivery of a preparatory lecture, two supervisory meetings and a two hour dissertation planning workshop in a small group setting. Students are expected to spend considerable time on independent research throughout the course of the dissertation module, including; preparation of dissertation plan, amendment of plan in accordance with supervisory comments, preparation for the dissertation workshop, and, of course, in the final 10,000 word dissertation itself.

Students will be expected to complete four Law focused courses and four Business focused courses, finalising their study with the dissertation. The courses you will study are: Issues in Corporate Finance, Accounting, Introduction to Corporate Finance Law, Corporate Governance for Corporate Finance, Portfolio Analysis, Financial Analysis and Markets, Debt Finance Law, Equity Finance Law. The dissertation will be on either a legal or financial topic.

Please note: Students staring their LLM programme in January write their Dissertation project during the Summer semester.

Entry Requirements

Open to people with a degree in any discipline, a law degree is not a requirement for the LLM. Likewise a finance degree is not a requirement for the MSc.

Those with a background in Accounting, Management, Maths, Engineering, Finance, Economics, Banking or similar will be considered.

This dissertation examined the question ‘Has section 172 (“s172”) of the UK’s Companies Act (“CA”) 2006 created an effective set of directors’ duties’? Prior to the advent of s172 CA 2006, there was no statutory form of direction concerning directors’ duties and obligations. However, with the intervention of s172, the pressure to take other stakeholders into consideration in the management of corporate affairs is now recognized . Therefore, the essence of this research was to examine whether the law has adequately reflected a shift from the previous common law position, which favored shareholder primacy to a more inclusive approach .

It is suggested in the paper that section 176 is too compendious in its drafting. A consequence of this is that the declared objectives of the CLR to make the law comprehensible and, therefore, accessible is undermined. It fails to capture the essence of the principles that have emerged from the case law on the no-conflicts rule and the corporate opportunity. Further, the differing approaches towards the determination of liability by the Court of Appeal in Bhullar, on the one hand, and the more open textured approach towards the issue in Pyke, illustrates the dichotomy of the case law surrounding the corporate opportunity doctrine which the language of section 176 fails to resolve.

On the 10th September last year, the Law Commission published its eagerly awaited consultation paper entitled Company Directors: Regulating Conflicts of Interests and Formulating a Statement of Duties (Law Com Consultation Paper No. 153). Russia: Requirements for 2020 annual tax reports of foreign companies operating in Moscow

Moscow Interdistrict Tax Inspectorate No. 47 has issued a letter setting out the procedure for the preparation and submission of reports for 2020 by foreign companies operating in Moscow (the Letter). 1

Annual tax reports due from foreign companies include a profits tax return, an annual statement of activities prepared in the officially prescribed form, 2  and an explanatory note to the annual statement of activities (Explanatory Note). This set of reports must be filed no later than 29 March 2021. 3

Who must file profits tax returns and an annual statement of activities?

Foreign companies registered to carry on activities in Russia must file a profits tax return and a statement of activities even if they did not have financial and economic activities in 2020.

Taxpayers that carry on activities in Russia via a permanent establishment must complete sections one to nine of the profits tax return. Foreign companies that have divisions but do not carry on business activities in Russia through them must complete sections one to three of the return.

The Explanatory Note and other documents

Although the Explanatory Note to the annual statement of activities is not a mandatory part of the reports and does not have to be submitted to the tax authority, taxpayers should consider filing this report on an annual basis to minimize potential questions from the tax authorities.

Specifically, the taxpayer must provide information on the name of the company, the type of activity carried on by the company both in its country of incorporation and via its representative office/branch in Russia, details of contracts and itemized information on income and expenditure of the representative office/branch. There is also a requirement to describe the methods used to calculate income and expenditure where a representative office/branch participates in the performance of the parent company’s contracts and where a company’s worldwide income is allocated to divisions located in different countries or different regions of Russia.

The company must also disclose activities of a preparatory and auxiliary nature on behalf of third parties, if any such activities took place.

It is stated in the Letter that supporting documents for expenses that were incurred abroad and allocated to the division must be kept at the Moscow division and presented to the tax authorities if requested.

The questions and requirements contained in this year’s Letter are broadly the same as in previous years, but there are certain differences compared with last year.

Key changes

The Letter contains certain changes to the requirements regarding information to be disclosed in the Explanatory Note and a number of adjustments in relation to other tax reporting forms.

The following items have been excluded from the disclosure requirements for the Explanatory Note:

The requirement to give information on other divisions in other regions of the Russian Federation

The requirement to give details of the foreign company’s operating arrangements in the territory of Moscow, including a list of all codes of reason for registration assigned by the inspectorate for any divisions (construction sites) that the company might have

The Inspectorate also draws attention to the following points:

Budget classification codes for local budgets are not to be entered in returns.

A foreign company that has independently declared itself a tax resident of the Russian Federation must submit a profits tax return to the Inspectorate in the same form as Russian companies.

The requirement to file transport tax and land tax returns has been abolished from 1 January 2021 for the 2020 tax period onwards. 4

A document containing information on income of individuals for the tax period that has ended and amounts of tax calculated, withheld and remitted to the budget must be submitted not later than 1 March of the year following the tax period that has ended. For the 2021 tax period onwards, that document must be filed as a part of the calculation of amounts of personal income tax calculated and withheld by a tax agent (Form No. 6-NDFL).

The calculation of amounts of personal income tax calculated and withheld by a tax agent for the first quarter of 2021 and subsequent tax periods is to be filed in the form approved by Federal Tax Service Order No. YeD-7-11/753@ of 15 October 2020.

Starting with reports for 2020, payers of social contributions that make payments and other remunerations to individuals must submit information on the average number of employees as part of the calculation of social contributions.

Notifications of participation in foreign organizations and notifications of controlled foreign companies are to be submitted only by foreign companies that are tax residents of Russia. 5

A higher personal income tax rate of 15% is introduced from 1 January 2021 for income received by individuals in excess of 5 million rubles for the tax period. This change does not apply to income from the sale of property or interests in property, income from property received as a gift or amounts received in the form of insurance payments or pensions.

The bank details for the payment of taxes and levies have changed from 1 January 2021. 6

Notification of controlled transactions

The notification for 2020 is to be submitted not later than 20 May 2021 in the form approved by Federal Tax Service Order No. MMV-7-13/249@ of 7 May 2018. Taxpayers are obliged to notify the tax authorities of controlled transactions concluded by them of the kinds referred to in Article 105.14 of the Tax Code. Unlawful failure to submit a notification of controlled transactions on time attracts a fine of 5,000 rubles. If a taxpayer discovers errors or omissions in its notification, it may submit a revised notification.

Abolition of the offset mechanism for the payment of social contributions

As from 1 January 2021, benefits accruing in respect of mandatory social insurance throughout the Russian Federation will be awarded and paid directly by local bodies of the Social Insurance Fund via a direct payment mechanism. The offset mechanism is abolished from 1 January 2021, and contributions must be paid to the Fund in full without deducting expenses.
